Effective Date: December 7, 2025

Last Updated: October 31, 2026

1. Acceptance of Terms

Welcome to TwoBirds. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and 1594356 B.C. Ltd. ("TwoBirds," "Company," "we," "us," or "our"), a corporation incorporated under the laws of British Columbia, Canada (corporation number BC1594356).

By accessing or using our website at twobirdsinc.ca and our platform (collectively, the "Service"), you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of the Service after any modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 16.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate, current, and complete information during registration

By using the Service, you represent and warrant that you meet all eligibility requirements. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Service

TwoBirds provides an AI-powered scientific grant discovery and application management platform (the "Service") that includes:

  • Grant Discovery Hub: A searchable database of grants and funding opportunities from government agencies, foundations, corporations, and other funding bodies
  • AI-Powered Matching: Automated matching of researcher profiles with relevant funding opportunities using artificial intelligence and machine learning
  • Application Workspace: Tools for organizing grant applications, creating documents, tracking deadlines, and managing the application process
  • Notifications: Alerts for new matching grants and approaching deadlines

THE SERVICE IS AN INFORMATIONAL AND ORGANIZATIONAL TOOL ONLY. TwoBirds does not guarantee the accuracy, completeness, or availability of any grant information, nor does TwoBirds guarantee that you will receive any grant funding. You are solely responsible for verifying all grant information directly with funding organizations.

4. Account Registration and Security

4.1 Account Creation

To access the Service, you must create an account by providing accurate and complete information, including your name, email address, and other required profile information. You agree to update your information promptly if it changes.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or use of your account

We are not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access to your account.

4.3 Account Restrictions

You may not:

  • Create more than one account per individual
  • Share your account credentials with any third party
  • Transfer or assign your account to another person or entity
  • Use another person's account without authorization

We reserve the right to suspend or terminate accounts that violate these restrictions.

5. Subscription Plans and Fees

5.1 Subscription Plans

TwoBirds offers three regular subscription plans:

  • Prospector: Unlimited grant discovery, up to 5 active projects, and read-only grant application workspaces
  • Writer: Unlimited grant discovery, up to 5 active projects, and 20 grant application workspaces per month
  • Pro: Unlimited grant discovery, up to 20 active projects, and unlimited grant application workspaces

Additional features and limitations for each plan are described on our website and may be updated from time to time.

5.2 Billing

  • Subscriptions are billed monthly. Some offers instead charge one up-front payment for an initial period of one, three, or six months, after which the subscription renews monthly
  • Fees are charged in advance at the beginning of each billing period
  • All fees are quoted and charged in the currency specified at checkout
  • You authorize us to charge your designated payment method for all applicable fees

5.3 Price Changes

We reserve the right to change subscription fees at any time. Price changes will take effect at the start of your next billing period following notice to you. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.

5.4 Taxes

All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes associated with your subscription, excluding taxes based on our net income.

6. Payment Processing

All payments are processed by a third-party payment processor. By providing payment information, you also agree to that processor's terms and privacy policy as they apply to you. We do not store or have access to your full payment card details.

You represent and warrant that:

  • You are authorized to use the payment method provided
  • All payment information you provide is accurate and complete
  • You will promptly update payment information if it changes

We reserve the right to suspend or terminate your access to the Service if payment cannot be processed or if your payment method is declined.

7. Cancellation and Refunds

7.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@twobirdsinc.ca. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period
  • You will not be charged for subsequent billing periods
  • You will retain access to the Service until the end of your paid period
  • No partial or prorated refunds will be provided for unused portions of a billing period

7.2 14-Day Match Guarantee and Refunds

We stand behind the Service with a 14-day match guarantee on your initial paid subscription. If, during the first fourteen (14) days after your initial subscription purchase, the Service does not surface any grant opportunity matched to the profile information you provide, you may request a full refund of the amount paid for that initial subscription term.

To request a refund under this guarantee, contact us at support@twobirdsinc.ca within fourteen (14) days of your initial purchase. Once approved, we will refund the amount paid for your initial subscription term to your original payment method.

For clarity, this guarantee:

  • applies only to the initial term of your first TwoBirds subscription, and not to any renewal term, plan change, add-on, or subsequent purchase;
  • is available once per customer and once per organization;
  • is based on whether the Service surfaces a grant opportunity matched to your profile, as reflected in the Service's matching outputs, and does not depend on whether you apply for, are awarded, or receive any grant or funding; and
  • may be declined where we reasonably determine that a request arises from fraud, abuse, or a violation of these Terms.

Except as expressly provided in this Section 7.2, all fees are non-refundable, and any refund outside this guarantee is provided solely at our reasonable discretion.

7.3 Termination by TwoBirds

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

Upon termination for cause, you will not be entitled to any refund of fees paid. Upon termination without cause, we will provide a prorated refund of prepaid fees for the unused portion of your subscription.

8. Usage Restrictions and Acceptable Use

8.1 Plan Limits

Grant discovery is unlimited on paid plans. Writer's grant application workspace limit resets at the beginning of each monthly period. Project limits apply to the number of projects retained in your account. Documents and AI edits inside an unlocked application workspace do not consume additional credits.

Reasonable request-size, concurrency, safety, and abuse-prevention controls continue to apply to features described as unlimited.

8.2 Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Provide false, inaccurate, or misleading information in your profile or applications
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Access or attempt to access accounts, systems, or data not intended for you
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Use any automated means (bots, scrapers, spiders, crawlers) to access or collect data from the Service without our prior written consent
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Circumvent, disable, or interfere with security features of the Service
  • Resell, sublicense, or provide access to the Service to third parties
  • Share your account credentials or allow others to use your account
  • Use the Service to send spam, unsolicited communications, or malware
  • Harass, abuse, threaten, or intimidate other users or our personnel

  • Attempt to gain unauthorized access to the Service or related systems
  • Use the Service in any manner that could damage, disable, or impair the Service

8.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

9. Intellectual Property Rights

  • Use anonymized and aggregated data derived from your User Content for analytics, research, and service improvement purposes

This license continues even after you stop using the Service or delete your account, to the extent your User Content has been incorporated into our AI training data, anonymized datasets, or backup systems.

10.4 User Content Representations

You represent and warrant that:

  • You own or have the necessary rights to submit your User Content
  • Your User Content does not infringe any third party's intellectual property or other rights
  • Your User Content is accurate and not misleading
  • Your User Content does not violate any applicable laws or these Terms

10.5 No Obligation

We have no obligation to monitor, review, store, or maintain any User Content. We may remove or refuse to display User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

12.3 User Responsibility

You are solely responsible for:

  • Evaluating and verifying all AI-generated recommendations and content

14. Limitation of Liability

14.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TWOBIRDS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, OR GOODWILL
  • LOSS OF DATA OR DATA BREACH
  • COST OF PROCUREMENT OF SUBSTITUTE SERVICES
  • LOSS OF OR FAILURE TO RECEIVE ANY GRANT FUNDING
  • DAMAGES ARISING FROM INACCURATE GRANT INFORMATION OR AI RECOMMENDATIONS
  • DAMAGES RESULTING FROM YOUR RELIANCE ON THE SERVICE OR ANY CONTENT

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

14.3 Basis of the Bargain

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE A FUNDAMENTAL PART OF THE BASIS OF THE BARGAIN BETWEEN US. THE SERVICE WOULD NOT BE PROVIDED WITHOUT THESE LIMITATIONS.

14.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless TwoBirds and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third party's rights, including intellectual property rights
  • Any grant application you submit using information from the Service
  • Any dispute between you and a funding organization

This indemnification obligation will survive the termination of these Terms and your use of the Service.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") informally by contacting us at support@twobirdsinc.ca.

You must provide a written description of the Dispute, including all relevant facts and your proposed resolution. We will attempt to resolve the Dispute through good-faith negotiations for a period of sixty (60) days from receipt of your notice.

16.2 Binding Arbitration

If the Dispute is not resolved through informal negotiations within sixty (60) days, either party may initiate binding arbitration. Any Dispute that is not resolved informally shall be finally and exclusively resolved by binding arbitration administered by the British Columbia International Commercial Arbitration Centre (BCICAC) in accordance with its rules then in effect.

The arbitration shall be conducted:

  • By a single arbitrator mutually agreed upon by the parties, or appointed in accordance with BCICAC rules
  • In Vancouver, British Columbia, Canada (or remotely by videoconference if agreed by the parties)
  • In the English language
  • In accordance with the laws of British Columbia and the federal laws of Canada

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AND TWOBIRDS AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative, collective, or class proceeding.

16.4 Exceptions

Notwithstanding the foregoing, either party may:

  • Seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information
  • Bring claims in small claims court if the claim qualifies

16.5 Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to support@twobirdsinc.ca within thirty (30) days of first accepting these Terms. Your notice must include your name, account information, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in accordance with Section 17 (Governing Law).

17. Governing Law

These Terms and any Dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

If you have opted out of arbitration pursuant to Section 16.5, or if arbitration is otherwise inapplicable, you agree to submit to the exclusive jurisdiction of the courts located in British Columbia, Canada, for the resolution of any Dispute, and you waive any objection to such venue.

18. General Provisions

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and TwoBirds regarding the Service and supersede all prior and contemporaneous agreements, proposals, and communications, written or oral.

18.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of TwoBirds.

18.4 Assignment

You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

18.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any person or entity.

18.6 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

18.7 Notices

We may provide notices to you by posting on the Service, by email to the address associated with your account, or by other reasonable means.
